PROJECT/COURSE/SESSION: How to Organize and Implement and Effective Prison Ministry and Criminal Justice Program in the Local Church

 

TYPE OF AGREEMENT: Fixed Rate as Outlined in Article 3 of this Agreement


PREAMBLE

 This service agreement (hereinafter “Agreement”) is entered into by the

(hereinafter “Host Organization”) with Reverend Anthony Kelley hereinafter “Contractor”).

WITNESSETH THAT

 

The parties agree to use reasonable effort to perform the services set forth in this Agreement for the considerations stated herein.


SCHEDULE ARTICLE 1                            

STATEMENT OF WORK

 

Services will be for the Host Organization, to research, prepare and conduct a Workshop entitled, How to Organize and Implement an Effective Prison Ministry and Criminal Justice Program in the Local Church designed to recruit, train and enlist volunteers to engage in local jail and prison ministry, community reentry, as well as collaborative efforts to confront racial disparity within the Criminal Justice System which results in Mass Incarceration and Disenfranchisement particularly of Boys and Young Men of Color. The host organization must have the capacity to accommodate training space with tables and chairs for not less than twenty-five (25) participants and provide training equipment to include a PowerPoint Projector and Screen.

ARTICLE 3 : ALLOWABLE COSTS AND PAYMENT

Costs. Host Organization agrees to pay Contractor a firm fixed rate of $200 per billable hour for Conducting said Workshop (up to four (4) hours, MAXIMUM $800); and Administrative Services at a cost of $350 which includes Secretarial Services and preparation of twenty-five (25) Training Materials Packets. Contract Services for all such approved tasks performed during the term of this Services Agreement shall not exceed $1,150. Additional training packets beyond the required twenty-five (25) shall cost $20.00 per additional packet. Other costs, if applicable, include Room and Board at a rate not more than $200 per night guaranteed and paid in advance for at least two (2) night’s stay at a reputable hotel; and Round-Trip Air Ticket paid in advance not to exceed $600 or $.65c per mile reimbursement if traveling by car. (The Contractor can be available to provide preaching services for the host local church on Sunday morning following the Training Workshop. A discretionary honorarium or “Love Offering” would apply).

3.1           Payment. Host Organization agrees to pay invoice for Contractor fee at the completion of the Workshop. (Any and all checks should be made payable to Contractor).

Host Organization shall pay in advance, i.e., upon the signing of this services agreement, for Secretarial Services and twenty-five (25) Training Material Packets consisting of PowerPoint Handouts, Folders, etc., to be utilized during the training Workshop at a cost of $350.

 

Workshop participants may purchase required Textbooks authored by Contractor through the trainer’s website www.akministrytrainingresources.com  or Amazon, Barnes and Noble, and WestBow Press Publisher.

 

ARTICLE 4: TERMINATION

The Agreement shall continue in full force and effect through the end of the project period or until terminated by notice in writing given by one party to the other party at least 15 days prior to the date upon which termination is to become effective and not less than seven days prior to the training event. If the agreement is terminated within six days of the training event by the Host Organization, any advance payment for services shall be retained by the Contractor for time and effort spent. If the agreement is terminated within six days of the training event by the Contractor, any advance payment for services shall be returned by Contractor to the Host Organization.

ARTICLE 5: CERTIFICATIONS

Contractor agrees that he will comply with all applicable laws, orders, and regulations relating to his performance under this Agreement and warrants that he will not at any time take any action which would cause the host organization to be in violation of any such laws, orders, and regulations.

 

To the extent applicable, the provisions of Executive Order 11246, as amended, and as supplemented by U.S. Department of Labor regulations, are incorporated into this Agreement and must be included in any subcontracts awarded involving this Agreement.   The parties certify that all services are provided without discrimination on the basis of race, color, religion, national origin, disability, sex, or veteran’s status; nor will the parties permit their employees to perform their services at any location where segregated facilities are maintained. The parties agree to comply with Section 504 of the Rehabilitation Act and with the Vietnam Era Veterans Assistance Act of 1974.

 

Contractor certifies that none of his officers, directors, employees or agents are registered sex offenders (or would be required to register as a sex offender under any State or Commonwealth Sex Offender Registry Act), and/or that no one who is, will be working on the  Statement of Work permitted to come to any Host Organization location.

ARTICLE 6: PROPRIETARY RIGHTS

Each party shall retain all rights, title, and interest in its own intellectual property, including, without limitation, all improvements, and modifications to, and all derivative works created from, such party's own intellectual property.

ARTICLE 7: OWNERSHIP

The parties acknowledge, understand, and agree that all right, title, and interest in and to the information used or created in conjunction with the work described herein is vested in the Contractor and that such information is the sole property of the Contractor.

ARTICLE 8: CONFIDENTIALITY

Confidential Information" shall include the terms of this Agreement, the work created by either party under      this Services Agreement, any other materials marked confidential by the Contractor, or the Organization and any oral information related to all of the foregoing.  Each party acknowledges and agrees that: (a) it shall use Confidential Information solely in accordance with the provisions of this Agreement; and (b) it shall not disclose, or permit to be disclosed, the Confidential Information of the other party, to any third party, without the disclosing party's prior written consent.  Each party shall take all reasonable precautions necessary to safeguard the confidentiality of the other party's Confidential Information including, at a minimum, those precautions taken by a party to protect its own Confidential Information, which shall in no event be less than a reasonable degree of care.  Confidential Information shall not include information that is:  (c) publicly available other than as a result of a breach of the terms of this Agreement; (d) already in the other party's possession and not subject to a confidentiality obligation; (e) obtained by the other party from any source without any obligation of confidentiality; or (f) required to be disclosed by order of a court or other governmental entity, provided no less than ten (10) days written notice is given to the party owning such Confidential Information so that such party may obtain a protective order or other equitable relief.  This provision shall survive the termination or expiration and non-renewal of this Agreement.  Upon termination of this Agreement, each party shall return to the other party, all Confidential Information and other information and materials of the other party in its possession.

ARTICLE 9: INDEMNIFICATION

Each party agrees to indemnify, defend and hold the other party and its subsidiaries, affiliates, directors, officers, shareholders, employees, representatives, agents, attorneys, successors and assigns harmless from and against any and all claims, liabilities, obligations, judgments, causes of actions, costs and expenses (including reasonable attorneys' fees) arising out of:  (a) a breach of this Agreement by a breaching party; (b) the negligent acts or omissions of the negligent party; or (c) the misappropriation and/or infringement by the applicable party of any patent, trademark, copyright, trade secret or other intellectual property or proprietary rights of any third party.

ARTICLE 10: ARBITRATION

Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled in accordance with the Commercial Arbitration Rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.  The prevailing party will be entitled to receive from the non-prevailing party all costs, damages, and expenses, including reasonable attorneys' fees, incurred by the prevailing party in connection with that action or proceeding whether the controversy is reduced to judgment or award.  The prevailing party will be that party who may be fairly said by the arbitrator(s) to have prevailed on the major disputed issues.

ARTICLE 11: OTHER SPECIAL PROVISIONS

11.1 This Agreement may be renewed under such terms as the parties hereto may    agree.

 

11.2 This Agreement may be amended as desired by the mutual written agreement of the parties hereto.

 

11.3  This Agreement constitutes the entire agreement between the parties and supersedes all previous agreements and understandings related to work to be performed.
